Terms and conditions

1. Scope of Agreement

These Terms and Conditions govern all commercial quotations, manufacturing agreements, sales orders, supply contracts, and installation services executed by Woodcell Interiors ("Manufacturer") for business entities, educational institutions, architecture firms, and corporate buyers ("Client").

2. Project Proposals & Specifications

All project proposals, computer-aided architectural renderings, and technical bill of materials (BOM) issued by Woodcell Interiors remain valid for the period specified in the formal quotation documentation. Standard manufacturing commences only upon mutual sign-off of final technical drawings, finish swatches, and receipt of agreed mobilization terms.

3. Custom Manufacturing & Engineering Tolerances

As an OEM/ODM commercial furniture fabricator utilizing high-precision computerized numerical control (CNC) machinery and edge-banding equipment:

• Standard manufacturing tolerances of ±1.5 mm apply across modular panel boards, prelam finishes, and sheet metal fabrications.
• Wood grain textures, natural veneer characteristics, and dye lot variations in commercial-grade upholstery may exhibit slight natural variations.
• Client-requested design modifications submitted after drawing approvals may necessitate revised delivery schedules.

4. Site Readiness & Installation Services

For contracts incorporating delivery and on-site assembly:

• The client is responsible for ensuring clear, dry, dust-free premises with functional electrical power, adequate lighting, and vertical freight elevator clearance.
• Woodcell's certified installation teams adhere strictly to environmental safety and quality standards during assembly.
• A joint inspection protocol is conducted upon completion, resulting in a formal Handover & Acceptance Certificate.

5. Commercial Warranty Coverage

Woodcell Interiors products are engineered for rigorous corporate use and backed by comprehensive limited warranties:

• Structural Frames & Steel Understructures: Up to 5-year structural warranty against manufacturing defects.
• Workstation Laminates & Panels: Up to 3-year warranty against delamination or blistering under standard indoor ambient conditions.
• Mechanisms & Gas Lifts: Subject to specific component manufacturer warranty (typically 2 to 3 years BIFMA-certified).
• Warranty excludes damages resulting from misuse, site flooding, improper chemical cleaning, unauthorized structural alteration, or normal wear and tear.

6. Intellectual Property

All proprietary modular designs, CAD blocks, technical joinery details, and marketing literature developed by Woodcell Interiors remain the exclusive intellectual property of Woodcell Interiors. Unauthorized reproduction or reverse engineering is strictly prohibited.

7. Governing Law & Jurisdiction

All contracts, disputes, and transactions entered into with Woodcell Interiors shall be governed by and interpreted under the laws of the Republic of India. Any legal proceedings arising hereunder shall be subject to the exclusive jurisdiction of the competent courts located in Gautam Budhh Nagar, Uttar Pradesh, India.
